Please read these Terms of Service carefully before accessing or using AiONA.
These Terms of Service (the "Terms") govern your access to and use of AiONA and related applications, software, websites, beta services, support, and documentation (collectively, the "Services"). These Terms form a legally binding agreement between you ("User", "you", or "your") and Zalous Inc., a Delaware corporation ("Zalous", "Company", "we", "us", or "our"). AiONA is a product of Zalous Inc. By accessing or using the Services, you agree to these Terms.
Please Note:
- Our Privacy Policy and any applicable California privacy notice describe how we collect, use, retain, and disclose personal information. They are important documents that you should read.
- If you use a paid enterprise plan, API, managed service, or other commercial offering, additional terms, order forms, or a separate master services agreement may apply.
1. Artificial Intelligence Disclaimer
Artificial intelligence and machine learning are evolving technologies. AiONA may generate recommendations, diagnoses, workflows, proposed actions, summaries, or other outputs ("Output").
1.1 User Review and Responsibility
- You acknowledge that you are interacting with an AI-enabled system and that Output may contain errors, omissions, or incomplete assumptions.
- You are responsible for independently reviewing Output before relying on it.
- You remain responsible for decisions, configurations, and actions taken based on Output.
1.2 AI Recommendations and Automated Actions
AiONA may propose or help perform network and IT asset management actions. You are responsible for reviewing and approving any action before it is applied to your networks, systems, or devices, unless you have expressly configured AiONA to perform automated actions. You are responsible for the rules, permissions, approval settings, and automation settings you enable.
2. Access and Use
2.1 Access Rights
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business evaluation or authorized business use. We may modify, suspend, or discontinue any part of the Services at any time.
2.2 Account Responsibilities
To access the Services, you must complete account registration and provide accurate, current, and complete information. You must keep your login credentials confidential and are responsible for all activities conducted under your account.
2.3 Authorized Network Use
You may use AiONA only on networks, systems, devices, and assets that you own, control, or are expressly authorized to monitor, scan, identify, or manage. You are responsible for obtaining all required permissions from your organization, customers, employees, contractors, network owners, device owners, and other applicable parties before using AiONA.
2.4 Prohibited Uses
You may not use AiONA to scan, monitor, access, map, test, interfere with, or collect data from any third-party network, system, or device without authorization. You may not use AiONA for unauthorized reconnaissance, intrusion, vulnerability exploitation, credential harvesting, surveillance, traffic interception, circumvention of security controls, malware activity, or any activity that violates applicable law or third-party rights.
2.5 Beta and Sensitive Environments
Unless otherwise agreed in writing, beta, trial, or evaluation versions of AiONA should not be used as the sole monitoring, security, compliance, emergency response, or service assurance system for mission-critical, safety-critical, regulated, healthcare, public infrastructure, or emergency-service environments. You remain responsible for supervising AiONA's outputs and actions.
3. Network Data and Privacy
AiONA may collect and process account information, device identifiers, IP addresses, MAC addresses, hostnames, network topology information, device status, traffic metadata, diagnostic logs, usage telemetry, chat prompts, AI outputs, support communications, and related technical data. We use this information to provide, secure, improve, troubleshoot, and support AiONA.
If you are a California resident, you may have rights under California privacy laws, including rights to know, access, correct, delete, and opt out of certain uses of personal information, subject to applicable limitations. Our Privacy Policy and any applicable California privacy notice will describe our data practices and how to exercise applicable rights.
4. Ordering and Fees
You shall pay all fees or charges in accordance with the fees, charges, and billing terms in effect at the time a fee is due and payable. Except as expressly stated in an applicable order form or required by law, fees for the Services are non-refundable.
5. Intellectual Property
Zalous retains all rights, title, and interest in and to the Services, software, documentation, models, workflows, usage analytics, aggregated or de-identified data, and improvements, enhancements, or modifications thereof, including all intellectual property rights. You retain your rights in your own business data, subject to the rights you grant us to provide and improve the Services. "AiONA", "Zalous", and related graphics, logos, service marks, and trade names are trademarks of Zalous.
6. Term and Termination
These Terms begin when you accept them or first access the Services and continue while you use the Services. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, or use the Services in an unauthorized manner.
7. Disclaimer
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZALOUS DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZALOUS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR NETWORK OR SYSTEM FAILURE. ZALOUS'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ZALOUS FOR THE SERVICES IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100.
9. California Enforceability
Nothing in these Terms is intended to restrict rights that cannot be waived under applicable law, including rights under California law. If any provision is found unenforceable, it will be limited or modified to the minimum extent necessary so that the remaining provisions remain in effect.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, except where California or other mandatory law applies.
